Commissions
For promoting Digital Duck products, plugins and services, Digital Duck will pay the affiliate a percentage commission of the total price (excluding tax) of any WordPress plugin sold to a third party who purchases from thedigitalduck.co.uk through a referral link.
The commission will total 30% of the final price of purchase before tax and after any discounts have been applied. The percentage is subject to changes by Digital Duck at any time. Digital Duck will notify affiliates of upcoming changes via email.
Commissions will be paid for on the initial 1-year payment, to purchase a license for one of the Digital Duck plugins. It does not apply to renewals of the license.
No commission will be paid on purchases that are refunded or subject to chargebacks, in the event that a commission has already been paid out to the affiliate for a transaction that is later refunded then the commission already paid for will be deducted from future payouts.
No commissions will be paid for an affiliates own purchases, for example, if they buy a plugin using their own affiliate links.
Digital Duck will keep accurate and up-to-date records of the data used to calculate the Commission owed to the Affiliate. The relevant totals will be made available to the Affiliate via the Affiliate dashboard on thedigitalduck.co.uk.
Commissions will be paid the first week of every month throughout the year. Payment will be made by PayPal to the account associated with the payout email address which the affiliate can specify from within the affiliate dashboard.
Tax
Digital Duck is not responsible for any tax affiliates may incur as a result of their association with Digital Duck. The affiliate is responsible for their own tax affairs.
Cookie Expiry
The use of cookies is used to track the usage of affiliate links. A cookie is stored for 365 days. If a customer purchases after the cookie has expired no commission will be paid.
Intellectual Property
Digital Duck agrees for the Affiliate to use the referral links, banners and any other assets that we may provide while promoting our plugins, products and services.
Digital Duck retains all rights, ownership, and interest in these materials, and in any copyright, trademark, or other intellectual property. Nothing in these Terms grants the Affiliate any rights, ownership or interest in these materials, or in the underlying intellectual property, other than the rights to use them as granted under these Terms.
Digital Duck reserves the right to have affiliates amend, remove or delete any assets or promotions that are deemed disingenuous, against the morals or the image that Digital Duck wishes to portray.
Relationship between affiliates and Digital Duck
Registering as an affiliate does not grant the applicant any employment, partnership or agency relationship between them and Digital Duck. The affiliate is acting as an independent party in the promotion of plugins, products and services. The affiliate does not have any authority in the management, running or business venture of Digital Duck and cannot be considered an agent of Digital Duck in any regards.
Affiliates’ representations and warranties
The Affiliate represents and warrants that:
- They have the legal authority to enter into an agreement under these Terms.
- They will not distribute any unsolicited bulk emails or spam in relation to their promotion of Digital Duck products or services.
- They will not use Digital Ducks name or any of its products or services for any misleading purpose. This includes implying that Digital Duck products or services are the Affiliate’s own; and using a domain name or other branding that is confusing similar to Digital Ducks’ name or its plugins.
- Their website does not contain any materials that are sexually explicit, obscene or pornographic; offensive, hateful, threatening, libellous or discriminatory in any way; graphically violent; or solicitous of any unlawful or misleading behaviour.
Indemnification
The Affiliate indemnifies and holds harmless Digital Duck for any claim, damage, lawsuit or other consequences arising out of any breach of the Affiliate’s warranties under these Terms; or any other cost arising out of the Affiliate’s promotion of Digital Duck products or services.
Termination
These terms will take effect as soon as the Affiliate submits the registration form for the Affiliate Program.
Either party may terminate the agreement at any time and for any reason. No notice is required for termination. The Affiliate will receive commission for any transactions made through the referral link up until the date and time of the termination, assuming that the affiliate has not breached the terms specified under this agreement.
After termination, the Affiliate may continue promoting Digital Duck products and services (unless specifically requests that this stops), however, they will no longer receive any commission for transactions made through their referral link.
Removal of online information
The Affiliate is expected to promote Digital Duck products and services in an accurate, ethical and responsible way.
Digital Duck reserves the right to have affiliates modify, remove or delete any materials published relating to the products and services. The affiliate must comply with any removal request within 2 working days.
Agreement and liability
Digital Duck shall not be held liable for any loss of profits or costs, or for any other direct or indirect damages arising out of any loss, suspension or interruption of service, termination, or any other performance of services under these Terms.
Severability
If any part of this agreement is declared unenforceable or invalid, all remaining clauses shall remain binding.
Changes to Terms and Conditions
We reserve the right to update these Terms and Conditions at any time for any reason, without prior notice or consent. You can visit this page at any time to view the current version.
